Terms of Service

Welcome to StraightUp. By using our service, you agree to these terms. Please read them carefully.

1. Acceptance of Terms

StraightUp is operated by Transparency Technologies, LLC ("we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree to these terms, please do not use our service.

2. Eligibility

You must be at least 18 years old to use StraightUp. By using our service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms.

3. Description of Service

StraightUp is a personal operating system designed to help you reflect, track your thoughts, set goals, and gain clarity on your life. Our service includes:

• Daily and weekly check-in tools
• Personal memory and insight tracking
• The Mirror, which reflects your own words back to you
• Goal setting and progress monitoring
• Life satisfaction assessments
• Optional reflective insights, described in section 8, which suggest next steps drawn from reflections you choose to share

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized access

5. Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Upload malicious code or content
• Impersonate others or misrepresent your identity
• Use the service to harm or harass others

6. Your Content

You retain ownership of all content you create within StraightUp, including your check-ins, memories, goals, and conversations. By using our service, you grant us a limited license to store and process your content solely to provide the service to you. That license covers the optional feature in section 8 only for the content types you have switched on, and only for as long as they stay switched on.

We do not sell your personal content or use it for advertising purposes.

7. AI Features Disclaimer

StraightUp includes AI-powered features for reflection and guidance. Please understand that:

• AI responses are for informational purposes only
• Our AI is not a substitute for professional medical, psychological, or therapeutic advice
• If you are experiencing a mental health crisis, please contact a qualified professional or emergency services
• AI responses may occasionally be inaccurate or incomplete

8. Reflective Insights (Optional)

StraightUp offers an optional feature that reads reflections you choose to share and proposes concrete next steps back to you. The processing is performed by FideMaster, the platform StraightUp runs on, acting on our instructions. How your content is handled is set out in section 5 of our Privacy Policy, which forms part of these terms.

By switching this feature on for a content type, you agree that:

• The choice is yours to make and yours to reverse. The feature is off until you turn it on, you choose separately for each content type, and you can turn any of them off at any time
• Your choice is tied to the version of these terms and the Privacy Policy in effect when you made it. If we change how the feature works in a way that affects you, we will ask you to choose again rather than carry your old choice forward
• Turning the feature off stops further processing of that content type. It does not undo suggestions already produced, which you can remove yourself or ask us to delete
• Suggestions are proposals. Nothing is added to your goals or plan until you confirm it, unless you have switched on automatic acceptance, which is off unless you choose it
• If you switch on automatic acceptance, you remain responsible for reviewing what is added to your account

Suggestions are generated by automated systems and carry the same limits described in section 7. They may be mistaken, incomplete, or poorly suited to your circumstances. They are not professional advice, and deciding whether to act on any of them is yours.

9. Intellectual Property

The StraightUp name, logo, and all related materials are the intellectual property of Transparency Technologies, LLC. You may not copy, modify, or distribute our intellectual property without explicit written permission.

10. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access to the service at our discretion, including for violations of these terms.

Upon termination, you may request a copy of your data within 30 days.

11. Limitation of Liability

To the maximum extent permitted by law, Transparency Technologies, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, or error-free.

13. Changes to Terms

We may update these terms from time to time. We will notify you of significant changes via email or through the service. Your continued use of the service after changes take effect constitutes acceptance of the new terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
